Elysium Lounge & Rooftop — Bottle Club & Promoter Membership Agreement

This Agreement governs your participation in the Elysium Lounge & Rooftop Bottle Club and/or Promoter Program ("the Program"), operated by [VENUE LEGAL NAME] ("Elysium," "we," "us"). By creating an account, purchasing a membership, or checking "I agree," you ("you," "Member," or "Promoter") accept this Agreement in full. If you do not agree, do not sign up.


1. Definitions

2. Eligibility & account

You must be 21 or older with valid government ID, and provide accurate information. You are responsible for keeping your username and password secure and for all activity on your account. Do not share or transfer your login. One account per person.

3. Membership, fees & bottles

4. The Code is the only proof — how Bottles work

You acknowledge and agree that:

  1. A Bottle is delivered only against a valid Code. No Code, no Bottle. Elysium will never comp or release a Bottle on anyone's verbal promise, IOU, or claim that payment "will follow."
  2. A Code is issued only after payment clears. If a Code exists, Elysium has been paid for what was owed; if no Code exists, nothing has been paid and nothing is owed.
  3. Codes are single-use and product-locked — a Code redeems only the exact Bottle it was issued for, once.
  4. Redemption requires matching ID (21+). The redeemer's name is on the order; staff verify it.
  5. The only way to give or sell a Bottle to another person is portal Assignment, which issues that person their own Code. Handing your Code to someone else does not work once reassigned, and is prohibited.

5. Promoter & reseller responsibilities — client funds

This section is a material part of the Agreement. You agree that:

  1. You may resell or provide a Bottle to any guest or client only by purchasing and assigning that Bottle through the portal, so the buyer receives a valid Code at the time you take their money.
  2. You may not accept money from any person for a Bottle without immediately purchasing and assigning that Bottle in the portal so the buyer receives a valid Code. Taking a client's funds and failing to deliver a valid Code is a material breach and grounds for immediate termination.
  3. You are solely responsible for any funds you collect from guests or clients. Elysium is not a party to, and is not responsible for, any payment made to you outside the portal. Any dispute about money a client paid you is between you and that client.
  4. You must tell any buyer that a genuine Elysium Bottle always comes with a verifiable Code, and you must deliver that Code to them when they pay. You must direct buyers to verify their Code at [VERIFY URL] before relying on it.
  5. You are an independent participant in the Program. You are not an employee, agent, partner, or representative of Elysium, and you have no authority to make promises, set prices, or create obligations on Elysium's behalf, or to imply that Elysium guarantees, backs, or will honor any unpaid or unassigned Bottle.

6. Prohibited conduct

The following are violations of this Agreement:

7. Strikes, suspension & termination

Elysium enforces this Agreement through a strikes system, based on its portal records, staff incident reports, and reasonable investigation. You agree that Elysium's records and logs are authoritative evidence, and that Elysium's good-faith determination is final.

Standard violations: - Strike 1 — written warning and education. - Strike 2suspension of benefits and the ability to assign or redeem for [e.g., 30 days]. - Strike 3permanent termination of the account and all benefits.

Immediate termination (no prior strikes) for: taking a client's money without issuing a valid Code; fraud or chargebacks; misrepresenting Elysium or claiming Elysium will honor an unpaid Bottle; or any safety/legal violation.

Effect of suspension or termination: you immediately lose access to the Program, all benefits, and any unredeemed Bottles, with no refund of any fees paid. Elysium may also pursue any other remedy available at law for theft, fraud, or harm to its reputation.

8. Verification & no off-portal liability

Elysium provides a public tool to verify any Code at [VERIFY URL]. A real Elysium Bottle can always be verified there. Elysium is not responsible for any money paid to a Member or Promoter outside the portal, or for any representation a Member or Promoter makes that is not part of this Program. A buyer who pays for a Bottle and does not receive a valid Code has not purchased an Elysium Bottle.

9. Indemnification & limitation of liability

You agree to indemnify and hold harmless Elysium and its owners, staff, and affiliates from any claim, loss, or expense arising out of your off-portal dealings, your representations to third parties, your collection of client funds, or your breach of this Agreement. To the maximum extent permitted by law, Elysium's total liability to you relating to the Program is limited to the fees you paid in the prior [30] days, and Elysium is not liable for indirect or consequential damages.

10. Alcohol & responsible service

All Redemptions are subject to law and venue policy. You and your guests must be 21+ with valid ID. Elysium may refuse or stop service to anyone who is intoxicated or cannot verify age, with no refund or make-good. Nothing in the Program guarantees service in violation of law or responsible-service practice.

11. Investment perk (if applicable)

Any opportunity to invest in Elysium is offered separately under its own documents and applicable securities laws, is invitation-only and subject to eligibility, and is not part of this Agreement or guaranteed by membership.

12. Changes, governing law & acceptance

Elysium may update the Program and this Agreement; continued use means acceptance of the current version. This Agreement is governed by the laws of the State of Maryland, and you agree to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Maryland.

By checking "I have read and agree to the Membership & Promoter Agreement" and completing sign-up, you acknowledge that you have read, understood, and agree to be bound by this Agreement — including your sole responsibility for client funds (Section 5) and the strikes-and-termination terms (Section 7).
